1. ALCANCE: “AkzoNobel” significa la entidad de AkzoNobel identificada anteriormente y cualquier afiliado de AkzoNobel, “Comprador” significa el comprador y cualquier afiliado del Comprador de Productos y Servicios de AkzoNobel. “Contrato” significa el contrato (por escrito o de otro modo) celebrado entre AkzoNobel y el Comprador para el suministro de Productos o Servicios cuando AkzoNobel acepta el pedido del Comprador. A menos que ambas partes hayan firmado un acuerdo de venta de productos para regir el suministro de Productos o Servicios, estos Términos y Condiciones se aplican al Contrato con exclusión de cualquier otro término que el Comprador busque imponer o incorporar, o que estén implícitos por ley, costumbre comercial, práctica o curso de negociación. “Productos” significa todos y cada uno de los bienes suministrados por AkzoNobel al Comprador y “Servicios” significa los servicios (si los hay) brindados por AkzoNobel o en nombre de AkzoNobel. Estos Términos y Condiciones y el Contrato representan el acuerdo completo entre AkzoNobel y el Comprador. 

2. OFERTA / ACEPTACIÓN: 2.1 Una cotización de AkzoNobel no constituye una oferta sino una invitación al Comprador a realizar un pedido. 2.2 El Contrato entra en vigor únicamente cuando AkzoNobel acepta el pedido del Comprador. Cada pedido individual aceptado constituirá un Contrato separado. 2.3 Una vez aceptado por AkzoNobel, el pedido del Comprador no podrá ser cancelado por el Comprador sin el acuerdo previo por escrito de AkzoNobel y sujeto a que el Comprador indemnice a AkzoNobel por todas las pérdidas, costos y daños incurridos por AkzoNobel como resultado de la cancelación.  

3. ENTREGA/TRANSFERENCIA DE RIESGO: 3.1 Los términos de entrega se interpretarán de acuerdo con la última edición de INCOTERMS vigente en la fecha del Contrato. A menos que AkzoNobel acuerde lo contrario por escrito, el plazo de entrega es EXW y el riesgo de pérdida de los Productos se transferirá al Comprador cuando los Productos se pongan a disposición del Comprador o del transportista designado en las instalaciones notificadas por AkzoNobel. 3.2 El tiempo de entrega o ejecución no será esencial. La falta de entrega de los Productos y/o prestación de los Servicios en la fecha especificada no dará derecho al Comprador a reclamar daños, pérdidas o costos ni a retirar el pedido. 3.3 AkzoNobel podrá realizar entregas parciales. Cualquier falta en realizar una entrega o cualquier reclamo por parte del Comprador con respecto a un pago parcial no le dará derecho al Comprador a tratar el pedido completo como repudiado. 3.4 El Comprador es responsable de verificar y firmar todas las entregas y al firmar, el Comprador indica que la entrega recibida está completa y en buenas condiciones. Si la entrega es escasa o se considera que está dañada, esto deberá informarse inmediatamente a la empresa de entrega y a AkzoNobel. No se aceptarán devoluciones de Productos si AkzoNobel no las aprueba previamente por escrito.

4. VARIACIONES DE CANTIDAD: El Comprador pagará la cantidad entregada y no podrá rechazar ninguna entrega del Producto por motivos de variación de cantidad cuando dicha variación no supere el 10% de la cantidad solicitada.

5.  PRECIO Y PAGO: 5.1 A menos que las partes acuerden lo contrario, el precio de los Productos y Servicios será el precio cotizado por AkzoNobel. AkzoNobel podrá ajustar el(los) precio(s) de cualquier Producto en cualquier momento mediante notificación por escrito con al menos treinta (30) días de antelación. Todos los precios excluyen el impuesto al valor agregado y cualquier otro impuesto que pueda aplicarse con respecto a los Productos y Servicios. 5.2 AkzoNobel emitirá facturas al Comprador por todos los Productos y Servicios. El Comprador deberá pagar las facturas dentro de los 30 días a partir de la fecha de la factura (“Término de Pago”) a menos que las Partes acuerden lo contrario por escrito, en la moneda y a la dirección y número de cuenta bancaria de AkzoNobel como se indica en la factura.  Si el último día del Plazo de Pago no es un día hábil, el Comprador deberá pagar a más tardar el último día hábil dentro del Plazo de Pago. 5.3 El plazo de pago de las facturas es esencial. El comprador debe realizar los pagos de forma libre y clara y no podrá retener el pago de ningún importe adeudado a AkzoNobel mediante compensación, reconvención o deducción similar. 5.4 Previa solicitud, el Comprador reembolsará inmediatamente a AkzoNobel todos los costos, incluidos los honorarios de agencias de cobranza y abogados, incurridos o gastados por AkzoNobel para cobrar cualquier monto vencido del Comprador. 5.5 Excepto con respecto a la parte en disputa (si la hubiere) de una factura, si el Comprador no paga a tiempo, AkzoNobel podrá (i) rescindir la relación con el Comprador con efecto inmediato mediante notificación por escrito al Comprador, o (ii) suspender las entregas. 5.6 Cualquier falta de pago en la fecha de vencimiento generará automáticamente y sin formalidades intereses a (i) la tasa de interés legal del país en el que se encuentra la dirección de AkzoNobel o (ii) el ocho por ciento (8%) anual, cualquiera que sea es el más alto. El período de intereses se contará desde la fecha de vencimiento del pago hasta la recepción por parte de AkzoNobel del importe total adeudado.

6. RETENCIÓN DE TÍTULO: 6.1 La propiedad de los Productos seguirá siendo propiedad de AkzoNobel hasta que el Comprador pague en su totalidad todos los importes facturados y adeudados a AkzoNobel. 6.2 A la espera del pago, el Comprador mantendrá los Productos no utilizados en fideicomiso de AkzoNobel almacenados en buenas condiciones por separado de todos los demás bienes para que sean fácilmente identificables como de AkzoNobel. 6.3 AkzoNobel tiene derecho a ingresar a las instalaciones del Comprador para recoger cualquier Producto del que sea titular. 6.4 El comprador debe cooperar plenamente con AkzoNobel si AkzoNobel decide registrar la reserva de propiedad. 6.5 Independientemente de la ley que rige estos Términos y Condiciones, el Comprador puede vender los Productos en el curso normal de su negocio, pero no puede pignorar, hipotecar ni gravar de otro modo los Productos antes del pago total de todos los importes facturados o adeudados a AkzoNobel. 

7. GARANTÍA / DERECHOS DEL COMPRADOR: 7.1 AkzoNobel garantiza al Comprador que en el momento de la entrega los Productos cumplen con las especificaciones estándar del Producto de AkzoNobel u otras especificaciones que AkzoNobel y el Comprador hayan acordado expresamente por escrito (las “Especificaciones”) (la “Garantía”). ESTA GARANTÍA ES LA ÚNICA GARANTÍA OFRECIDA POR AKZONOBEL. AKZONOBEL NO OFRECE OTRAS GARANTÍAS, EXPRESAS O IMPLÍCITAS, ORALES O ESCRITAS, CON RESPECTO A LOS PRODUCTOS, LA APLICACIÓN O USO DE LOS MISMOS, O DE OTRA MANERA.  ESTA GARANTÍA SUSTITUYE CUALQUIER OTRA GARANTÍA O CONDICIÓN QUE DE OTRA MANERA SE APLICARÍA BAJO CONTRATO O LEY, INCLUYENDO ESPECÍFICAMENTE LOS TÉRMINOS, CONDICIONES O GARANTÍAS IMPLÍCITAS DE CALIDAD, COMERCIABILIDAD O IDONEIDAD PARA UN PROPÓSITO PARTICULAR O NO INFRACCIÓN, CADA UNA DE LAS CUALES ES ESPECÍFICAMENTE RENUNCIADA. 7.2 En caso de que los Productos no cumplan con la Garantía, AkzoNobel, a su elección, reparará o reemplazará dichos Productos o reembolsará el Precio de los Productos y, una vez hecho esto, no tendrá ninguna responsabilidad adicional. 7.3 El Comprador debe notificar a AkzoNobel de cualquier reclamo de que los Productos no cumplen con la Garantía dentro de los siete (7) días posteriores a que el Comprador tenga conocimiento de dicho reclamo, pero en cualquier caso a más tardar treinta (30) días después de la entrega del Producto al Comprador. 7.4 El hecho de que el Comprador no notifique a AkzoNobel de un reclamo de acuerdo con la sección 7.3 constituirá una renuncia por parte del Comprador a dicho reclamo. 7.5 AkzoNobel no ofrece garantía de ningún tipo con respecto a los Servicios proporcionados o supuestamente proporcionados al Comprador o a cualquier otra parte y no tendrá ninguna responsabilidad con respecto a dichos Servicios. 7.6 Es una condición estricta de esta garantía que el Comprador tomará todas las medidas razonables para mitigar el efecto de cualquier pérdida o daño sufrido por el Comprador respecto del cual se realiza un reclamo.

8. LIMITACIÓN DE RESPONSABILIDAD: 8.1 AkzoNobel no será responsable de ninguna pérdida o daño causado por la falta de ejercicio por parte del Comprador de un control de calidad efectivo o la falta de almacenamiento, uso o manipulación de los Productos según lo recomendado o de acuerdo con las instrucciones proporcionadas por AkzoNobel o los estándares de la industria. 8.2 AKZONOBEL no será responsable, ya sea por contrato, agravio (incluida negligencia), incumplimiento de deberes legales o de otro modo, por cualquier pérdida de ganancias, pérdida de negocios, disminución de valor o agotamiento de la buena voluntad o cualquier pérdida indirecta, INCIDENTAL, ESPECIAL, EJEMPLAR, PÉRDIDA O DAÑO PUNITIVO o consecuente. La responsabilidad total de AKZONOBEL ante el Comprador con respecto a todas las pérdidas que surjan en relación con EL CONTRATO SE LIMITA AL precio de los Productos o SERVICIOS SUMINISTRADOS BAJO EL CONTRATO, o €200.000 , el que sea menor. 8.3 Nada en esta sección limita o excluye la responsabilidad de AkzoNobel por cualquier asunto respecto del cual sea ilegal para AkzoNobel excluir o restringir su responsabilidad. 8.4 El Comprador reconoce que no se ha basado en ninguna declaración, promesa o representación hecha o dada por o en nombre de AkzoNobel que no esté establecida en el Contrato. Nada en esta sección excluirá o limitará la responsabilidad de AkzoNobel por tergiversación fraudulenta.

9.  INDEMNIZACIÓN: 9.1 El Comprador indemnizará, eximirá de responsabilidad y defenderá a AkzoNobel y sus afiliados y a cada uno de sus respectivos directores, funcionarios, empleados, agentes, sucesores y cesionarios (cada "Parte indemnizada") de y contra todos y cada uno de los reclamos de terceros, incluidas todas las pérdidas, daños, responsabilidades, sanciones, costos o gastos de cualquier tipo (incluidos los honorarios de abogados) (colectivamente, "Pérdidas") incurridos por una Parte Indemnizada como resultado de dichos reclamos que surjan de o estén relacionados con (i) el Comprador o cualquier de sus directores, funcionarios, empleados, contratistas o agentes o de sus afiliados sobre negligencia o mala conducta intencional; o (ii) el incumplimiento del Contrato por parte del Comprador. 9.2 Las disposiciones de esta sección seguirán vigentes tras la terminación de la relación entre AkzoNobel y el Comprador.

10. FUERZA MAYOR: 10.1 AkzoNobel no será responsable del incumplimiento de sus obligaciones, si se ve obstaculizado o impedido, directa o indirectamente, por una guerra (declarada o no declarada), un golpe militar, una emergencia nacional, una epidemia o pandemia, un ataque terrorista, sanciones, transporte a instalaciones inadecuadas, fallas de equipos, la incapacidad de AkzoNobel de asegurar suministros o energía para la fabricación de los Productos y/o la prestación de los Servicios en términos y condiciones que sean aceptables para AkzoNobel, desastres naturales, disputas laborales, restricciones gubernamentales, ataques cibernéticos, cualquier acto criminal de terceros, o vandalismo que afecte la capacidad de suministro de AkzoNobel, o cualquier otra causa más allá del control razonable de AkzoNobel (cada uno de ellos, una “Fuerza mayor”). 10.2 AkzoNobel no tendrá obligación de adquirir ni suministrar ningún producto de ninguna otra fuente en lugar de los Productos y podrá asignar su suministro disponible de Productos entre sus compradores, afiliados y sus clientes, y revendedores, sobre cualquier base que AkzoNobel considere adecuada. 10.3 En caso de que la duración de un evento de Fuerza Mayor exceda los seis (6) meses o se espere razonablemente que exceda los seis (6) meses, AkzoNobel tendrá derecho a retirarse de cualquier obligación que pueda tener de suministrar los Productos y Servicios al Comprador sin el Comprador tener derecho alguno a indemnización.

11. CUMPLIMIENTO DE LAS LEYES: 11.1 El Comprador deberá y procurará que sus funcionarios, empleados, contrapartes, revendedores, subcontratistas y cualquier otra persona cumplan con todas las leyes aplicables y no tomen ninguna acción que pueda causar que AkzoNobel infrinja las leyes aplicables. Las “Leyes Aplicables” incluyen, entre otras, cualquier ley, norma, código, reglamento y requisito estatutario que de vez en cuando entre en vigor, incluidos específicamente aquellos que se relacionan con (pero no se limitarán a) trabajo y empleo, derechos humanos, privacidad de datos, seguridad, cualquier impuesto aplicable, medio ambiente, competencia y antimonopolio, anticorrupción y soborno y controles y sanciones a las exportaciones. 11.2 El Comprador, por su propia cuenta, obtendrá y mantendrá todas las certificaciones, autorizaciones, licencias y permisos necesarios para realizar su negocio y cumplir con sus obligaciones. 11.3 El Comprador deberá cumplir con el Código de conducta para socios comerciales publicado actualmente en el sitio web de AkzoNobel en https://www.akzonobel.com en relación con todas las transacciones que involucren a AkzoNobel o cualquiera de sus afiliados. 11.4 Por la presente, el Comprador indemniza a AkzoNobel en su totalidad y a pedido contra todas las pérdidas, daños, responsabilidades, reclamos, acciones y procedimientos en los que AkzoNobel o cualquiera de sus afiliados pueda incurrir como resultado de cualquier incumplimiento por parte del Comprador de esta sección 11. 

12. RESCISIÓN: 12.1 Cualquier pedido aceptado no creará ninguna obligación para AkzoNobel con respecto a pedidos futuros. AkzoNobel tendrá derecho a rechazar pedidos y terminar la relación con el Comprador en cualquier momento. 12.2 AkzoNobel tendrá derecho a rescindir/suspender inmediatamente el Contrato; (a) si el Comprador incumple material o consistentemente el Contrato, (b) si el Comprador sufre un cambio de control en sus acciones o propiedad, (c) si el Comprador suspende (o es razonablemente probable que lo haga), o amenaza con suspender, pago de sus deudas o (es razonablemente probable que sea) incapaz de pagar sus deudas a medida que vencen o admite una incapacidad para pagar sus deudas o se considera incapaz de pagar sus deudas o cualquier cosa análoga a cualquiera de los anteriores, (d) si el Comprador sufre (o es razonablemente probable que sufra) un Evento de Insolvencia, o (e) en cualquier momento sujeto a un aviso de al menos 7 días. “Evento de Insolvencia” significa que el Comprador (i) entra en liquidación voluntaria/obligatoria, (ii) tiene un síndico o síndico administrativo designado sobre cualquiera de sus activos o es objeto de una solicitud de administración, (iii) celebra un acuerdo o convenio con sus acreedores, o (iv) un evento con efecto equivalente a (i) a (iii) en cualquier jurisdicción a la que esté sujeto el Comprador. 12.3 Por rescisión/suspensión del Contrato por cualquier motivo; (a) todos los montos facturados por AkzoNobel al Comprador, ya sean vencidos o no, vencerán inmediatamente, (b) Los productos suministrados o comprometidos en la fabricación pero aún no facturados se facturarán inmediatamente y se considerarán adeudados, (c) el permiso de AkzoNobel para que el Comprador venda, convierta o procese los Productos establecidos en la sección 6 terminará inmediatamente y (d) AkzoNobel podrá (sin perjuicio de cualquiera de sus otros derechos) recuperar o revender los Productos y podrá ingresar a las instalaciones del Comprador para ese fin. 12.4 Bajo ninguna circunstancia el Comprador tendrá derecho a ningún tipo de tarifa o compensación derivada de la rescisión. Tras la terminación o vencimiento, el Comprador devolverá a AkzoNobel toda la información confidencial (como se define a continuación), ya sea en formato escrito o electrónico, proporcionada por AkzoNobel y no hará ningún uso posterior de la misma.

13. LEY Y RESOLUCIÓN DE DISPUTAS: 13.1 Estos Términos y Condiciones, el Contrato y todas las disputas entre AkzoNobel y el Comprador se rigen por las leyes del país y, si corresponde, del estado o provincia en el que se encuentra la dirección de AkzoNobel (como se indica en la parte superior de cada página de estos Términos y Condiciones), excluyendo la Convención de las Naciones Unidas sobre Contratos para la Compraventa Internacional de Mercancías y cualquier regla de elección de ley que dirija la aplicación de la ley de cualquier otra jurisdicción. 13.2 Cualquier disputa entre AkzoNobel y el Comprador que las partes no puedan resolver mediante acuerdo se resolverá exclusivamente en los tribunales que tengan jurisdicción sobre el tema de la disputa ubicados en la ciudad en la que se encuentra la dirección de AkzoNobel (o si no existen dichos tribunales en dicha ciudad en los tribunales que estén ubicados más cerca de dicha ciudad) y aquellos tribunales que tienen revisión a nivel de apelación sobre las decisiones y fallos de dichos tribunales. AkzoNobel y el Comprador aceptan la jurisdicción y jurisdicción de dichos tribunales.

14. DISPOSICIONES DIVERSAS: 14.1 Estos Términos y Condiciones, el Contrato y cualquier otro término acordado entre AkzoNobel y el Comprador son altamente confidenciales y contienen informaciones comerciales sensibles (en particular, la lista de precios, detalles de reembolso y condiciones de pago). AkzoNobel y el Comprador se comprometen a mantener la confidencialidad y a no revelar a terceros estos Términos y Condiciones o cualquier otra información confidencial en cualquier forma que pertenezca o esté relacionada directa o indirectamente con la otra parte o sus afiliados sin el consentimiento previo por escrito de la otra parte, salvo que cualquiera de las partes pueda revelar dicha información si así lo exige la ley, una orden judicial, un reglamento o cualquier autoridad gubernamental. Cuando se requiera hacer dicha divulgación, la parte a la que se le exige hacerlo deberá consultar con la otra parte para acordar el alcance de dicha divulgación. 14.2 AkzoNobel posee todos los derechos de propiedad intelectual sobre los Productos y Servicios y el Comprador acepta que estos derechos no se pueden utilizar de ninguna manera sin el consentimiento previo por escrito de AkzoNobel. El Comprador acepta indemnizar a AkzoNobel por cualquier daño, pérdida y honorarios legales, ya sean directos o indirectos, en los que AkzoNobel haya incurrido o incurra como resultado de cualquier infracción causada por el Comprador de los derechos de propiedad intelectual de AkzoNobel sobre los Productos y Servicios. 14.3 Si alguna disposición de estos Términos y Condiciones, el Contrato u otros términos acordados entre AkzoNobel y el Comprador es inválida, ilegal o inaplicable, en su totalidad o en parte, en cualquier jurisdicción, esto no afectará ninguna otra disposición ni invalidará o hará inaplicable dicha disposición en cualquier otra jurisdicción y AkzoNobel y el Comprador negociarán de buena fe para modificar estos Términos y Condiciones u otros términos acordados para efectuar la intención original de AkzoNobel y el Comprador lo más fielmente posible. 14.4 Todas las notificaciones se realizarán por escrito y se considerarán entregadas (a) cuando se entreguen en mano o mediante un servicio de mensajería comercial reconocido internacionalmente; (b) el tercer (3) Día Hábil (que no sea fin de semana ni día festivo en el país en el que se encuentra la dirección de AkzoNobel (como se indica arriba)) después del envío, si se envía por correo de primera clase, con franqueo pagado (se solicita acuse de recibo, si está disponible); o (c) en la fecha de envío por correo electrónico (con confirmación de transmisión) si se envía durante el horario comercial normal del destinatario, y en el siguiente Día hábil si se envía después del horario comercial normal del destinatario. Las notificaciones deben enviarse a las respectivas partes a la dirección o dirección de correo electrónico de la persona de contacto notificada periódicamente. 14.5 El Comprador no podrá ceder el Contrato sin el consentimiento previo por escrito de AkzoNobel. AkzoNobel podrá en cualquier momento ceder o subcontratar cualquiera de las obligaciones de AkzoNobel por razón del Contrato. 14.6 Ningún término del Contrato será ejecutable por ninguna parte que no sea parte del mismo.  14.7 Sujeto a la sección 7.4, el hecho de que cualquiera de las partes no ejerza o retrase un derecho o recurso previsto en el Contrato o en la ley no constituye una renuncia a ese derecho o recurso ni a ningún otro derecho o recurso. 14.8 Ninguna variación de estos Términos y Condiciones o del Contrato será vinculante a menos que se acuerde por escrito entre las partes. 

1. SCOPE: “AkzoNobel” means the AkzoNobel entity identified above and any AkzoNobel affiliate, “Buyer” means the purchaser and any affiliate of the Buyer of Products and Services from AkzoNobel. “Contract” means the contract (in writing or otherwise) formed between AkzoNobel and Buyer for the supply of Products or Services when AkzoNobel accepts Buyer’s order. Unless a product sales agreement has been signed by both parties to govern the supply of Products or Services, these Terms and Conditions apply to the Contract to the exclusion of any other terms that the Buyer seeks to impose or incorporate, or which are implied by law, trade custom, practice, or course of dealing. “Products” means any and all goods supplied by AkzoNobel to Buyer and “Services” means the services (if any) given by or on behalf of AkzoNobel. These Terms and Conditions and the Contract represent the entire agreement between AkzoNobel and the Buyer. 

2.  OFFER / ACCEPTANCE: 2.1 A quotation from AkzoNobel does not constitute an offer but an invitation to Buyer to place an order. 2.2 The Contract comes into effect only when AkzoNobel accepts Buyer’s order. Each individual accepted order shall constitute a separate Contract. 2.3 Once accepted by AkzoNobel, Buyer’s order may not be cancelled by Buyer without AkzoNobel’s prior written agreement and subject to Buyer indemnifying AkzoNobel against all loss, costs and damages incurred by AkzoNobel as a result of the cancellation.  

3. DELIVERY / TRANSFER OF RISK: 3.1 Delivery terms shall be interpreted in accordance with the latest edition of INCOTERMS in force at the date of the Contract. Unless otherwise agreed by AkzoNobel in writing, the delivery term is EXW and risk of loss in the Products will transfer to Buyer upon the making available of the Products to Buyer or the nominated carrier at the premises notified by AkzoNobel. 3.2 Time of delivery or performance shall not be of the essence. Failure to deliver the Products and/or perform the Services on the specified date shall not entitle Buyer to claim any damages, losses or costs or to withdraw the order. 3.3 AkzoNobel may deliver in instalments. Any failure to deliver an instalment or any claim by Buyer in respect of an instalment will not entitle the Buyer to treat the whole order as repudiated. 3.4 Buyer is responsible for checking and signing for all deliveries and by signing the Buyer indicates that the delivery received is complete and in good condition. If the delivery is short or deemed to be damaged this must be immediately highlighted to the delivery company and to AkzoNobel. No Product returns will be accepted if not approved in advance by AkzoNobel in writing.

4. QUANTITY VARIATIONS: Buyer will pay for the quantity delivered and may not reject any delivery of Product on the grounds of variation of quantity where such variation is not more than 10% of the quantity ordered.

5.  PRICE AND PAYMENT: 5.1 Unless otherwise agreed by the parties, the price for the Products and the Services will be the price quoted by AkzoNobel. AkzoNobel may adjust the price(s) of any Products at any time by giving at least thirty (30) days prior written notice. All prices are exclusive of value added tax and any other tax that may apply in respect of the Products and Services. 5.2 AkzoNobel will issue invoices to Buyer for all Products and Services. Buyer shall pay invoices within 30 days from the invoice date (“Payment Term”) unless otherwise agreed between the Parties in writing in the currency and to the address and the bank account number of AkzoNobel as stated on the invoice.  If the last day of the Payment Term is not a business day, Buyer shall pay at the latest on the last business day within the Payment Term. 5.3 Time for payment of the invoices is of the essence. Buyer must make payments free and clear and may not withhold payment of any amount due to AkzoNobel by way of set-off, counterclaim or similar deduction. 5.4 Upon demand Buyer will immediately reimburse AkzoNobel for any and all costs including fees for collection agencies and attorneys incurred or expended by AkzoNobel to collect any overdue amounts from Buyer. 5.5 Except in respect of the disputed portion (if any) of an invoice, if Buyer fails to pay on time, AkzoNobel may, either (i) terminate the relationship with Buyer with immediate effect upon written notice to Buyer, or (ii) suspend deliveries. 5.6 Any failure to pay on due date will automatically and without formalities incur interest at either (i) the rate of the statutory interest of the country in which AkzoNobel’s address is located or (ii) eight per cent (8%) per annum, whichever is the higher. The interest period will run from the due date for payment until receipt by AkzoNobel of the full amount due.

6. RETENTION OF TITLE: 6.1 Title in the Products will remain vested in AkzoNobel until payment in full by Buyer of all amounts invoiced and due to AkzoNobel. 6.2 Pending payment, Buyer will hold the unused Products in trust for AkzoNobel stored in good condition separately from all other goods so that they are readily identifiable as AkzoNobel’s. 6.3 AkzoNobel has the right to enter the premises of Buyer to collect any Products to which it holds title. 6.4 Buyer must fully cooperate with AkzoNobel if AkzoNobel decides to make registration of the retention of title. 6.5 Irrespective of the law governing these Terms and Conditions, Buyer may sell the Products in the ordinary course of its business, but may not pledge, mortgage or otherwise encumber the Products prior to full payment of all amounts invoiced or due to AkzoNobel.  

7.  WARRANTY / BUYER’S RIGHTS: 7.1 AkzoNobel warrants to Buyer that at the time of delivery the Products conform to AkzoNobel’s standard Product specifications or such other specifications as AkzoNobel and Buyer have expressly agreed to in writing (the “Specifications”) (the “Warranty”). THIS WARRANTY IS THE SOLE WARRANTY GIVEN BY AKZONOBEL. AKZONOBEL MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, ORAL OR WRITTEN, WITH RESPECT TO THE PRODUCTS, THE APPLICATION OR USE THEREOF, OR OTHERWISE.  THIS WARRANTY IS IN SUBSTITUTION FOR ANY OTHER WARRANTIES OR CONDITIONS WHICH WOULD OTHERWISE APPLY UNDER CONTRACT OR AT LAW, INCLUDING SPECIFICALLY THE IMPLIED TERMS, CONDITIONS OR WARRANTIES OF QUALITY, MERCHANTIBILITY OR FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, EACH OF WHICH IS SPECIFICALLY DISCLAIMED. 7.2 In the event Products do not comply with the Warranty, AkzoNobel will, at its option, repair or replace such Products or refund the Price of the Products and, having done so, will have no further liability. 7.3 Buyer must notify AkzoNobel of any claim that Products do not comply with the Warranty within seven (7) days after Buyer becomes aware of such claim but in any event no later than thirty (30) days after delivery of the Product to Buyer. 7.4 Buyer’s failure to notify AkzoNobel of a claim in accordance with section 7.3 will constitute a waiver by Buyer of such claim. 7.5 AkzoNobel makes no warranty of any kind with respect to any Services provided or alleged to be provided to Buyer or any other party and shall have no liability with respect to such Services. 7.6 It is a strict condition of this warranty that Buyer shall take all reasonable steps to mitigate the effect of any loss or damage suffered by Buyer in respect of which a claim is made.

8. LIMITATION OF LIABILTY: 8.1 AkzoNobel shall not be liable for any loss or damage caused by Buyer’s failure to exercise effective quality control or the failure to store, use or otherwise handle the Products as advised or in accordance with instructions provided by AkzoNobel or industry standards. 8.2 AKZONOBEL shall not be liable whether in contract, tort (including negligence), breach of statutory duty or otherwise for any loss of profit, loss of business, diminution in value, or depletion of goodwill or any indirect, INCIDENTAL, SPECIAL, EXEMPLARY, PUTNITIVE or consequential LOSS OR DAMAGE. AKZONOBEL’s aggregate liability to Buyer in respect of all losses arising under or in connection with THE CONTRACT IS LIMITED TO the price of the Products or SERVICES SUPPLIED UNDER THE CONTRACT, or €200,000, whichever is THE lower. 8.3 Nothing in this section limits or excludes AkzoNobel’s liability for any matter in respect of which it is unlawful for AkzoNobel to exclude or restrict its liability. 8.4 Buyer acknowledges that it has not relied on any statement, promise or representation made or given by or on behalf of AkzoNobel which is not set out in the Contract. Nothing in this section will exclude or limit AkzoNobel’s liability for fraudulent misrepresentation.

9.  INDEMNIFICATION: 9.1 Buyer will indemnify, hold harmless and defend AkzoNobel and its affiliates and each of its and their respective directors, officers, employees, agents, successors and assigns (each an “Indemnified Party”) from and against any and all third party claims including all losses, damages, liabilities, penalties, costs or expenses of any kind (including attorneys’ fees) (collectively, “Losses”) incurred by an Indemnified Party as a result of such claims arising out of or related to (i) Buyer’s or any of its or its affiliates’ directors, officers, employees, contractors or agents negligence or willful misconduct; or (ii) Buyer’s breach of the Contract. 9.2 The provisions of this section will survive any termination of the relationship between AkzoNobel and Buyer.

10. FORCE MAJEURE: 10.1 AkzoNobel will not be liable for failure to perform its obligations, if hindered or prevented from so doing, directly or indirectly, by war (declared or undeclared), military coup, national emergency, epidemic or pandemic, terrorist attack, sanctions, inadequate transportation facilities, equipment failure, AkzoNobel’s inability to secure supplies or energy for the manufacture of the Products and/or performance of the Services on terms and conditions that are acceptable to AkzoNobel, natural disaster, labour dispute, government restraint, cyberattack, any third party criminal act, or vandalism which affects AkzoNobel’s ability to supply, or any other cause beyond the reasonable control of AkzoNobel (each a “Force Majeure”). 10.2 AkzoNobel shall have no obligation to procure or supply any products from any other sources in place of the Products and may allocate its available supply of Products among its buyers, affiliates and their customers, and resellers on whatever basis AkzoNobel may deem fit. 10.3 In the event the duration of an event of Force Majeure exceeds six (6) months or is reasonably expected to exceed six (6) months AkzoNobel is entitled to withdraw from any obligation it may have to supply the Products and Services to Buyer without Buyer having any right to compensation.

11.COMPLIANCE WITH LAWS: 11.1 Buyer shall, and shall procure that its officers, employees, counterparties, resellers, sub-contractors and any other persons shall comply with all applicable laws, and not take any actions that would cause AkzoNobel to be in violation of the Applicable Laws. “Applicable Laws” include without limitation- any laws, rules, codes, regulations and statutory requirements that from time to time come into force, including specifically those that relate to (but will not be limited to) labour and employment, human rights, data privacy, safety, any applicable taxes, the environment, competition and antitrust, anti-corruption and bribery and export controls and sanctions. 11.2 Buyer, at its own expense, shall obtain and maintain all certifications, authorisations, licenses and permits necessary to conduct its business and perform its obligations. 11.3 Buyer shall adhere to the Business Partner Code of Conduct as currently published on AkzoNobel’s website at https://www.akzonobel.com in connection with all transactions involving AkzoNobel or any of its affiliates. 11.4 Buyer hereby indemnifies AkzoNobel in full and on demand against all losses, damages, liabilities, claims, actions and proceedings which AkzoNobel or any of its affiliates may incur as a result of any breach by Buyer of this section 11. 

12. TERMINATION: 12.1 Any accepted order shall not create any obligation on AkzoNobel in respect of any future orders. AkzoNobel shall be entitled to reject orders and otherwise terminate the relationship with Buyer at any time. 12.2 AkzoNobel shall be entitled to immediately terminate/suspend the  Contract; (a) if Buyer materially or consistently breaches the Contract,(b) if Buyer undergoes a change of control in its shares or ownership, (c) if Buyer  ) suspends (or it is reasonably likely it will), or threatens to suspend, payment of its debts or is (or it is reasonably likely it will be) unable to pay its debts as they fall due or admits an inability to pay its debts or is deemed unable to pay its debts or anything analogous with any of the foregoing, (d) if Buyer suffers (or it is reasonably likely it will suffer) an Insolvency Event, or (e) at any time subject to at least 7 days’ notice. “Insolvency Event” means the Buyer (i) entering voluntary/compulsory liquidation, (ii) having a receiver or administrative receiver appointed over any of its assets or being the subject of an application for administration, (iii) entering into an arrangement or composition with its creditors, or (iv) an event with equivalent effect to (i) to (iii) in any jurisdiction to which Buyer is subject. 12.3 On termination/suspension of the Contract  for whatever reason; (a) all amounts invoiced by AkzoNobel to Buyer, whether or not due for payment, shall become due immediately, (b) Products supplied or committed to in manufacture but not yet invoiced shall be immediately invoiced and become owing, (c) AkzoNobel's permission for Buyer to sell, convert or process the Products set out in section 6 shall terminate immediately and (d) AkzoNobel may (without prejudice to any of its other rights) recover or resell the Products and may enter Buyer's premises for that purpose. 12.4 Under no circumstances will Buyer be entitled to any form of fee or compensation arising from termination. Upon termination or expiry Buyer will return to AkzoNobel all confidential information (as defined below), whether in written or electronic format, supplied by AkzoNobel and will make no further use of the same.

13. LAW AND DISPUTE RESOLUTION: 13.1 These Terms and Conditions, the Contract and all disputes between AkzoNobel and Buyer are governed by the laws of the country and, if applicable, state or province, in which AkzoNobel’s address is located (as indicated on the top of each page of these Terms and Conditions), excluding the United Nations Convention of Contracts for the International Sale of Goods and any choice of law rules that direct the application of the law of any other jurisdiction. 13.2 Any disputes between AkzoNobel and Buyer that the parties are unable to resolve by agreement will be resolved exclusively in the courts having jurisdiction over the subject matter of the dispute located in the city in which AkzoNobel’s address is located (or if no such courts exist in such city in such courts as are located closest to such city) and those courts having appellate level review over the decisions and rulings of such courts. AkzoNobel and Buyer consent to the jurisdiction and venue of such courts.

14. MISCELLANEOUS: 14.1 These Terms and Conditions, the Contract and any other terms agreed by AkzoNobel and Buyer are highly confidential and contain commercially sensitive information (in particular, the price list, rebate details and payment terms). AkzoNobel and Buyer each undertake to keep confidential and not to disclose to any third party these Terms and Conditions or any other confidential information in any form directly or indirectly belonging or relating to the other or its affiliates without the prior written consent of the other party, save that either party may disclose such information if required to do so by law, Court order, regulation or any governmental authority. Where required to make such disclosure, the party being required to make the disclosure shall consult with the other party to agree the scope of such disclosure. 14.2 AkzoNobel owns all intellectual property rights in the Products and Services and Buyer agrees that these rights may not be used in any way without AkzoNobel’s prior written consent. Buyer agrees to indemnify AkzoNobel for any damages, losses and legal fees whether direct or indirect that AkzoNobel has incurred or will incur as a result of any infringement caused by Buyer of AkzoNobel’s intellectual property rights in the Products and Services. 14.3 If any provision of these Terms and Conditions, the Contract or other terms agreed between AkzoNobel and Buyer is invalid, illegal or unenforceable, in whole or in part, in any jurisdiction, this will not affect any other provision or invalidate or make unenforceable such provision in any other jurisdiction and AkzoNobel and Buyer will negotiate in good faith to modify these Terms and Conditions or other terms agreed to effect the original intent of AkzoNobel and Buyer as closely as possible. 14.4 All notices will be in writing and deemed given (a) when delivered by hand or an internationally recognized commercial courier; (b) on the third (3) Business Day (being a day other than a weekend day or public holiday in the country in which AkzoNobel’s address (as indicated above) is located) after postage, if sent by first class mail, postage prepaid (return receipt requested, if available); or (c) on the date sent by e-mail (with confirmation of transmission) if sent during normal business hours of the recipient, and on the next Business Day if sent after normal business hours of the recipient. Notices must be sent to the respective parties at the address or email address of the contact person as notified from time to time. 14.5 The Contract may not be assigned by Buyer without AkzoNobel’s prior written consent. AkzoNobel may at any time assign or sub-contract any of AkzoNobel’s obligations under the Contract. 14.6 No term in the Contract shall be enforceable by any party which is not a party to it.  14.7 Subject to section 7.4, the failure or delay by either party to exercise a right or remedy provided by the Contract or by law does not constitute a waiver of that right or remedy or of any other rights and remedies. 14.8 No variation of these Terms and Conditions or the Contract shall be binding unless agreed in writing between the parties.
